Origin Completed by the Uniform Law Commission in 1997, amended in 2011 and 2013.
Description The Uniform Partnership Act (1997) modernizes the Uniform Partnership Act of 1914, adopted in every state except Louisiana. It also establishes a partnership as a separate legal entity, and not merely as an aggregate of partners. It was amended most recently in 2011 and 2013 as part of the Harmonization of Business Entity Acts project. These amendments harmonize the language in UPA (1997) with the language of similar provisions in the other uniform unincorporated entity acts and make additional updates and harmonization changes.
